GymSmart Terms &
Conditions of Service

Subject to timely subscription payment, Ajasys Technologies Private Limited ("GymSmart", "Company", "We") grants the gym owner ("Subscriber", "You") a non-exclusive, non-transferable, revocable license to access the GymSmart Cloud ERP (erp.gymsmart.in) and deploy our branded mobile applications (Owner, Trainer, and Member apps) for your authorized fitness center branches.

This license is granted solely for your internal gym business operations. You agree not to reverse-engineer, sub-license, rent, or distribute the software codebase to unauthorized third parties.

GymSmart provides comprehensive Role-Based Access Control (RBAC) enabling gym owners to assign customized permissions for Managers, Front Desk Receptionists, Personal Trainers, and Accountants:

• You are responsible for maintaining the confidentiality of admin credentials and restricting unauthorized login sharing among staff.
• All operational activities (member edits, discounts, fee waivers, manual gate opens) are logged in the master audit trail with staff timestamps.
• You must notify GymSmart immediately upon suspecting any compromised password or unauthorized access.

Your Data Remains 100% Yours. GymSmart asserts zero ownership over your member lists, contact databases, financial reports, or attendance logs entered into our system:

GymSmart processes your data strictly to provide software functionality and will never sell or monetize your member contact numbers to third-party advertisers.

GymSmart features native TCP/IP communication drivers for biometric turnstile gates (eSSL, TimeWatch, ZKTeco, Hikvision):

• GymSmart provides direct software socket synchronization for automated gate locking upon membership expiry.
• Physical turnstile hardware installation, power stability, and local gym LAN network cabling are the responsibility of the gym facility or certified hardware technicians.
• Our Surat engineering lab provides free remote configuration support for supported biometric device models.

GymSmart connects with the Official Meta WhatsApp Cloud API to deliver automated fee reminders, digital payment links, and GST invoice receipts:

• WhatsApp messaging must comply with Meta's Business Messaging Policies and TRAI regulations.
• Subscribers must not utilize the broadcast engine to transmit unsolicited bulk spam, illegal products, or offensive messages to non-opted-in individuals.
• Standard WhatsApp Cloud API conversation credits are billed according to official Meta regional rates without hidden markups.

GymSmart software subscription fees are billed annually or multi-yearly based on your selected tier (Standard, Pro Biometric, or Multi-Branch Enterprise):

• All subscription prices are subject to applicable Goods and Services Tax (GST 18%) under Indian tax legislation. Official tax invoices are issued immediately upon payment.
• Subscriptions automatically renew at the end of each billing cycle unless cancelled prior to the renewal date.
• Free Excel data onboarding and staff software training are included with annual active subscriptions.

GymSmart guarantees a 99.98% operational uptime for our cloud server infrastructure, excluding pre-announced scheduled maintenance during low-traffic off-peak night hours (2:00 AM - 4:00 AM IST).

In the rare event of cloud latency, local biometric devices with onboard memory continue to log member entries offline and automatically sync timestamps once the connection is restored.

The GymSmart name, logo, proprietary algorithms, Flutter mobile app source code, hardware socket relay architecture, and user interface designs are the exclusive intellectual property of Ajasys Technologies Private Limited. No title or intellectual ownership is transferred to the Subscriber.

To the maximum extent permitted by applicable Indian law, GymSmart shall not be held liable for indirect, incidental, punitive, or consequential damages resulting from local gym internet outages, physical gym hardware tampering, third-party payment gateway downtime, or uncollected gym member fees.

Our aggregate liability under any circumstance is limited to the subscription fee amount paid by the Subscriber in the preceding 12 months.

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of India. Any legal dispute or proceeding arising out of this agreement shall be subject to the exclusive jurisdiction of the competent courts in Surat, Gujarat, India.
